A.  The City ofPortland,Oregon(City), maintains a deferred compensation plan authorized by Section 457 of the Internal Revenue Code of 1986, as amended (“IRC”) that was originally adopted by City Council on December 17, 1981 and became effective January 1, 1982.

B.  Name of Plan.  This Plan shall be known as the City of Portland Governmental 457(b) Plan.

C.  Effective Date.  The effective date of this Plan, as amended, shall be November 14, 2012.

D.  Investment Providers.  As of August 11, 2005, the investment providers offered by the Plan are:

1.  ING Life Insurance and Annuity Company

2.  Advantis Credit Union
